Terms of Service

These Terms of Service (the "Terms") govern your access to and use of the websites, web applications, products, services, and other offerings (collectively, the "Service") of Give Panda, LLC, a Wyoming limited liability company that operates the Gift of Parenthood crowdfunding platform ("Give Panda," "we," "us," or "our"). Together with our Privacy Policy and any other policies we publish on the Service, these Terms form the agreement between you and us (the "Agreement").
About the entities. The crowdfunding platform is operated by Give Panda, LLC, a for-profit company. Charitable grants are awarded separately by Gift of Parenthood, Inc., a Pennsylvania nonprofit corporation and 501(c)(3) organization, under its Grant Program Rules. These Terms govern your use of the crowdfunding platform.
By creating an account, donating, organizing or contributing to a fundraiser, applying for a grant, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. Who Can Use the Service
You may use the Service only if you are at least 18 years old and able to form a binding contract with us. You may not use the Service if you have been previously suspended or removed by us, or if you are barred from receiving services under U.S. or other applicable law (including U.S. export controls and sanctions). Account holders represent that they have not been convicted of a felony and are not required to register as a sex offender.
The Service is not directed to children under 13 and we do not knowingly allow children under 13 to register. See our Privacy Policy for more about how we handle information about minors.
2. Your Account
If you register for an account, you agree to provide accurate, current, and complete information and to keep it updated. You are responsible for keeping your password secure and for all activity under your account. Notify us immediately at support@giftofparenthood.org of any unauthorized use. You may not register more than one account per person, register on behalf of someone else, or use a fictitious name or impersonate anyone. Your account is not transferable.
We may suspend or terminate your account at any time for violation of these Terms or for other reasons in our reasonable discretion, with or without notice. You may close your account at any time.
3. Our Programs and Services
The Service includes several distinct programs that have additional terms:
- Donations. When you donate, you agree the donation is made voluntarily, that the payment method belongs to you and is used with authorization, and that we are not responsible for tax-deductibility determinations applicable to your individual circumstances. See Section 11.2 for important information about how donations are treated for tax purposes.
- Crowdfunding Campaigns. When you organize or contribute to a campaign, the terms in Section 5 apply.
- Grant Program. When you apply for or receive a grant from Gift of Parenthood, Inc., the Grant Program Rules and, if selected, the Award Release Agreement and Materials Release Agreement apply.
- Memberships and Subscriptions. Where offered, additional terms apply at the time of signup.
To the extent program-specific terms conflict with these general Terms, the program-specific terms control for that program.
4. Use of AI and Administrative Tools
We use artificial intelligence and machine learning tools as administrative aids in operating the Service, including drafting routine communications, summarizing applications for human reviewers, detecting fraud, translating content, and supporting editorial workflows. Final decisions about grant selection, account actions, and other consequential matters are made by human staff. Our Privacy Policy (Section 4) describes this in more detail.
5. Crowdfunding Campaigns
If you organize a crowdfunding campaign on the Service, you agree that:
- All information you provide is accurate, complete, and not misleading.
- If you are organizing on behalf of another person or organization, you have their permission and the authority to do so. If on behalf of a nonprofit, the organization is recognized as tax-exempt under U.S. or Canadian law (or another jurisdiction we have approved).
- All funds raised will be used as described in your campaign.
- You will comply with all applicable tax laws. We do not withhold or remit taxes on your behalf, and we recommend consulting a tax professional.
- You will not offer goods, services, discounts, gift cards, or other consideration in exchange for contributions.
- You will not run a contest, sweepstakes, raffle, or similar promotion through your campaign.
- You will not use the campaign to sell products or services or to raise funds for any unlawful purpose.
If a campaign was organized on your behalf and you want it removed, contact us in writing at support@giftofparenthood.org.
We reserve the right to preview, approve, edit, suspend, remove, or refuse any campaign at our discretion to ensure compliance with these Terms, our Privacy Policy, and applicable law. We may charge registration, hosting, or transaction fees for campaigns and will disclose them before activation.
Payouts are processed through Stripe Connect under Stripe's terms. Identity verification is required for payouts and is handled by Stripe.
6. Grant Program
The grant program is operated by Gift of Parenthood, Inc., a 501(c)(3) nonprofit, and provides need-based financial assistance to individuals and families pursuing family-building goals. Grant recipients are selected by Gift of Parenthood staff based on objective criteria including financial need, family-building circumstances, intended use of funds, and other factors described in the Grant Program Rules. The grant program is not a sweepstakes, raffle, or lottery. Random selection is not used to determine recipients.
Application fees, where charged, defray administrative costs and are non-refundable. Payment of an application fee does not affect the likelihood of selection.
Detailed terms governing the grant program (eligibility, application process, selection criteria, deadlines, and recipient obligations) are set out in the Grant Program Rules at grant.giftofparenthood.org. Recipients also enter into the Award Release Agreement and Materials Release Agreement, which are separate documents.
7. Intellectual Property
7.1 Our Content
The Service and its content, including text, graphics, logos, images, software, and design (the "Company IP"), are owned by Give Panda, Gift of Parenthood, or our licensors and are protected by copyright, trademark, and other intellectual property laws. Except as provided in these Terms, you may not copy, reproduce, distribute, modify, create derivative works of, publicly display, sell, or otherwise exploit any portion of the Service without our prior written consent.
7.2 Limited License to You
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial purposes. This license does not authorize you to scrape, harvest, mine, or build databases from the Service.
7.3 Your Content
You retain ownership of content you submit to the Service ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, modify, adapt, translate, publish, publicly display, publicly perform, and create derivative works of the User Content in connection with the Service and our mission, including for fundraising, marketing, editorial, and program operations. You also grant other Service users a license to access and use your User Content as permitted by the Service's features.
You represent that you own or have the necessary rights, licenses, consents, and permissions to submit your User Content and grant the licenses above, and that your User Content does not infringe or violate the rights of any third party.
We may, but are not required to, remove or refuse User Content for any reason, including content that violates these Terms.
7.4 Feedback
If you send us suggestions or feedback, you grant us the right to use it without restriction or compensation.
8. User Conduct
You agree not to:
- Violate any applicable law or regulation
- Submit User Content that is unlawful, fraudulent, defamatory, obscene, harassing, threatening, or that infringes the rights of any third party
- Submit content that promotes discrimination based on race, ethnicity, national origin, religion, gender, sexual orientation, gender identity, age, disability, or other protected characteristics
- Impersonate any person or entity or misrepresent your affiliation
- Use the Service to send spam, chain letters, or unsolicited commercial communications
- Scrape, crawl, harvest, or use automated systems to collect information from the Service except as expressly authorized
- Reverse engineer, decompile, or attempt to extract source code from the Service
- Interfere with the integrity, security, or operation of the Service, or attempt to circumvent any access controls or rate limits
- Use the Service for unauthorized commercial purposes
- Solicit other users for purposes unrelated to the Service or its mission
- Disclose another person's personal or confidential information without permission
- Engage in fraudulent grant applications, fundraisers, or donation activity
We may investigate violations and take any action we consider appropriate, including removal of content, suspension or termination of accounts, and referral to law enforcement.
9. Copyright Policy and DMCA
We respect intellectual property rights. If you believe content on the Service infringes your copyright, send a notice to our designated agent containing the information required by the Digital Millennium Copyright Act (DMCA) (17 U.S.C. § 512(c)(3)):
- A physical or electronic signature of the copyright owner or authorized agent
- Identification of the copyrighted work claimed to have been infringed
- Identification of the allegedly infringing material and information sufficient to locate it
- Your contact information (name, address, telephone, email)
- A statement of good-faith belief that the use is not authorized
- A statement, under penalty of perjury, that the information is accurate and that you are authorized to act on behalf of the copyright owner

Counter-Notices: If your content was removed and you believe the removal was a mistake or misidentification, you may submit a counter-notice with the information required by the DMCA. We may forward counter-notices to the original complainant.
We will terminate accounts of repeat infringers in appropriate circumstances.
10. Third-Party Services and Links
The Service may include links to, or integrations with, third-party websites and services we do not control. We are not responsible for their content, practices, or policies. Your interactions with third parties are between you and them.
When you make a payment, organize a fundraiser, or receive a grant, payment processing is handled by Stripe under its own terms and privacy policy. You may need to agree to Stripe's terms separately.
11. Fees, Payments, Donations, and Refunds
11.1 Fees
We may charge fees for some features of the Service. For crowdfunding campaigns, the organizer is responsible for a platform fee (disclosed at checkout) and standard payment-processing fees of 2.9% + $0.30 per transaction. Grant application fees, subscription fees, and any applicable taxes are disclosed before you incur them.
11.2 How Donations Are Treated for Tax Purposes
Contributions to individual fundraisers are personal gifts to the fundraiser recipient and are not tax-deductible. Give Panda, LLC is a for-profit company and does not issue charitable tax receipts for contributions to individual campaigns. Such contributions are generally treated as gifts to the recipient, which are not deductible as charitable contributions by the donor and are generally not taxable income to the recipient.
Separately, donations made to Gift of Parenthood, Inc. (a 501(c)(3) organization) in support of its charitable grant program — and not earmarked for any particular individual — may be tax-deductible to the extent permitted by law. Whether any contribution is deductible depends on your individual circumstances. We do not provide tax advice; please consult a qualified tax professional.
11.3 Refunds
Donations, grant application fees, fundraiser registration fees, and contributions to crowdfunding campaigns are non-refundable except where required by law, as described in our Refund Policy, or in our sole discretion.
You authorize us and our payment processors to charge your payment method for amounts you owe. You represent that you are authorized to use the payment method.
12. Communications
By creating an account, you agree to receive transactional and account-related communications from us. By providing a phone number, you consent to receiving SMS messages related to the Service. Standard message and data rates may apply. You can opt out of non-essential communications by following unsubscribe instructions or contacting us.
13. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT THE INFORMATION ON THE SERVICE WILL BE ACCURATE OR RELIABLE.
We do not provide medical, legal, tax, or financial advice. Information on the Service is for general purposes only. You should consult qualified professionals for advice on your specific situation. We do not endorse any clinic, agency, provider, attorney, or other third party referenced on the Service.
We do not conduct background checks on users and do not verify all statements made by users. Interactions among users are at your own risk.
14. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL GIVE PANDA, GIFT OF PARENTHOOD, OR THEIR DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR CONTRACTORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL AGGREGATE LIABILITY UNDER THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100). FOR GRANT RECIPIENTS, THE LIMITATIONS IN THE AWARD RELEASE AGREEMENT CONTROL.
Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of these limitations may not apply to you.
15. Indemnification
You agree to defend, indemnify, and hold harmless Give Panda, Gift of Parenthood, and our officers, directors, employees, agents, and contractors from any claim, demand, loss, liability, or expense (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your User Content; (d) your violation of any third-party right (including intellectual property, privacy, and publicity rights); or (e) any fundraiser you organize.
16. Dispute Resolution and Arbitration
Please read this section carefully. It affects your legal rights.
16.1 Informal Resolution
Before filing a claim, you and we agree to try to resolve the dispute informally by contacting support@giftofparenthood.org. Most disputes can be resolved this way.
16.2 Binding Arbitration
If informal resolution fails, you and we agree to resolve any dispute arising out of or related to these Terms or the Service through binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration will be conducted in Natrona County, Wyoming, another mutually agreed location, or by video where appropriate. The arbitrator's award is final and binding and may be entered in any court of competent jurisdiction.
16.3 Class Action Waiver
You and we agree that disputes will be resolved on an individual basis only. Class actions, class arbitrations, and representative or consolidated proceedings are not permitted. This class action waiver is essential to this arbitration agreement; if it is found unenforceable, the entire arbitration agreement is void.
16.4 Exceptions
Either party may bring an individual claim in small claims court. Either party may seek injunctive or equitable relief in court for matters involving intellectual property, unauthorized access, or data security. Nothing in these Terms prevents you from contacting a government agency.
16.5 Governing Law
These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law rules. To the extent any dispute is not arbitrated, it will be resolved exclusively in the state or federal courts located in Natrona County, Wyoming, and the parties consent to personal jurisdiction there.
16.6 Time Limit
Any claim must be filed within one year after it accrues, or it is permanently barred, except where applicable law prohibits a shorter limitation period.
16.7 Jury Trial Waiver
To the fullest extent permitted by law, you and we each waive any right to a jury trial.
17. State-Specific Notices
California
Under California Civil Code § 1789.3, California residents may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by telephone at (800) 952-5210.
New Jersey, Other States
Some provisions of these Terms may not apply to residents of certain states where prohibited by law. The remaining provisions remain in effect to the fullest extent permitted.
18. International Users
The Service is operated from the United States and is intended primarily for U.S. users. If you access the Service from outside the United States, you do so on your own initiative and are responsible for compliance with local law. By using the Service, you consent to your information being transferred to and processed in the United States. We make no representation that the Service is appropriate or available for use in any particular country.
19. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will notify you by email (where we have your address) or by prominent notice on the Service before they take effect, and we will update the "Last Updated" date above. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
20. General
- Entire Agreement. These Terms, together with our Privacy Policy and any program-specific terms, are the entire agreement between you and us.
- Severability. If any provision is unenforceable, the rest of the Terms remains in effect.
- No Waiver. Our failure to enforce any provision does not waive our right to enforce it later.
- Assignment. You may not assign these Terms. We may assign them in connection with a merger, acquisition, financing, or similar transaction.
- No Agency. Nothing creates a partnership, joint venture, agency, or employment relationship.
- Headings. Section headings are for convenience only.
- Survival. Provisions that by their nature should survive termination will survive.
